Terms of Trade

BHD Storage Solutions, Inc.

General Terms and Conditions for the Sale of Goods and Services

Applicability

(a) These terms and conditions of sale (“Terms”) are the only terms which govern the sale of the goods (“Goods”) and services (“Services”) by BHD Storage Solutions, Inc. (“BHD”) to the Customer named on the reverse side of these Terms (“Customer”). If a written contract signed by both parties is in existence covering the sale of the Goods and Services covered hereby, the terms and conditions of such contract shall prevail to the extent they are inconsistent with these Terms.
(b) The accompanying confirmation of sale or invoice (“Sales Confirmation”) and these Terms (collectively, this “Agreement”) comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. These Terms prevail over any of Customer’s general terms and conditions of purchase regardless of whether or when Customer has submitted its purchase order or such terms. Fulfillment of Customer’s order does not constitute acceptance of any of Customer’s terms and conditions and does not serve to modify or amend these Terms.
(c) BHD may, from time to time change the Services without the consent of Customer provided that such changes do not materially affect the nature or scope of the Services, or the fees or any performance dates stated in the Sales Confirmation.

Delivery of Goods and Performance of Services

(a) The Goods will be delivered within a reasonable time after the receipt of Customer’s purchase order, subject to availability of finished Goods and Customer’s fulfilment of all payment requirements under this Agreement. Delivery dates are estimates only and BHD shall not be liable for any delays, loss, or damage in transit.
(b) Unless otherwise agreed in writing by the parties, BHD shall deliver the Goods to the delivery point stated in the Sales Confirmation (“Delivery Point”) using BHD’s standard methods for packaging and shipping such Goods. Customer shall take delivery of the Goods within 2 days of BHD’s written notice that the Goods have been delivered to the Delivery Point. Customer shall be responsible for all loading costs and provide equipment and labor reasonably suited for receipt of the Goods at the Delivery Point, and will unload and release all transportation equipment promptly so BHD incurs no demurrage or other expense. BHD is not responsible for installation of any Goods unless expressly stated as being included as part of the Services in the applicable Sales Confirmation.
(c) BHD may, in its sole discretion, without liability or penalty, make partial shipments of Goods to Customer. Each shipment will constitute a separate sale, and Customer shall pay for the units shipped whether such shipment is in whole or partial fulfillment of Customer’s purchase order.
(d) If for any reason Customer fails to accept delivery of any of the Goods on the date fixed pursuant to BHD’s notice that the Goods have been delivered at the Delivery Point, or if BHD is unable to deliver the Goods at the Delivery Point on such date because Customer has not provided appropriate instructions, documents, licenses or authorizations: (i) risk of loss to the Goods shall pass to Customer; (ii) the Goods shall be deemed to have been delivered; and (iii) BHD, at its option, may store the Goods until Customer picks them up, whereupon Customer shall be liable for all related costs and expenses (including, without limitation, storage and insurance).
(e) BHD shall use reasonable efforts to meet any performance dates to render the Services specified in the Sales Confirmation. However, any such dates shall be estimates only. (f) With respect to the Services, Customer shall (i) cooperate with BHD in all matters relating to the Services and provide such access to Customer’s premises, and such office accommodation and other facilities as may reasonably be requested by BHD, for the purposes of performing the Services; (ii) respond promptly to any BHD request to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for BHD to perform Services in accordance with the requirements of this Agreement; (iii) provide such Customer materials, resources (including but not limited to adequate power supply and lighting) or information as BHD may request to carry out the Services in a timely manner and ensure that such Customer materials or information are complete and accurate in all material respects; and (iv) obtain and maintain all necessary licenses and consents and comply with all applicable laws in relation to the Services before the date on which the Services are to start.

Non-Delivery

The quantity of any installment of Goods as recorded by BHD on dispatch from BHD’s place of business is conclusive evidence of the quantity received by Customer on delivery unless Customer can provide conclusive evidence proving the contrary. BHD shall not be liable for any non-delivery of Goods (even if caused by BHD’s negligence) unless Customer gives written notice to BHD of the non-delivery within 2 days of the date when the Goods would in the ordinary course of events have been received. Any liability of BHD for non-delivery of the Goods shall be limited to delivering the Goods within a reasonable time or adjusting the invoice respecting such Goods to reflect the actual quantity delivered.

Quantity

If BHD delivers to Customer a quantity of Goods of up to 3% more or less than the quantity stated in the Sales Confirmation, Customer shall not be entitled to object to or reject the Goods or any portion of them by reason of the surplus or shortfall and shall pay for such Goods the price set forth in the Sales Confirmation adjusted pro rata.

Shipping Terms

BHD shall make delivery in accordance with the terms on the face of the Sales Confirmation.

Title and Risk of Loss

Title and risk of loss pass to Customer upon delivery of the Goods at the Delivery Point. As collateral security for the payment of the purchase price of the Goods, Customer hereby grants to BHD a lien on and security interest in and to all of the right, title and interest of Customer in, to and under the Goods, wherever located, and whether now existing or later arising or acquired from time to time, and in all accessions to and replacements or modifications of such Goods, as well as all proceeds (including insurance proceeds) of the foregoing. The security interest granted under this provision constitutes a purchase money security interest under the Georgia Uniform Commercial Code.

Customer's Acts or Omissions

If BHD’s performance of its obligations under this Agreement is prevented or delayed by any act or omission of Customer or its agents, subcontractors, consultants, or employees, BHD shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges, or losses sustained or incurred by Customer, in each case, to the extent arising directly or indirectly from such prevention or delay.

Inspection and Rejection of Nonconforming Goods

(a) Customer shall inspect the Goods within 5 days of receipt (“Inspection Period”). Customer will be deemed to have accepted the Goods unless it notifies BHD in writing of any Nonconforming Goods during the Inspection Period and furnishes such written evidence or other documentation as required by BHD. “Nonconforming Goods” means only the following: (i) product shipped is different than identified in Customer’s purchase order; or (ii) product’s label or packaging incorrectly identifies its contents.
(b) If Customer timely notifies BHD of any Nonconforming Goods, BHD shall, in its sole discretion, (i) replace such Nonconforming Goods with conforming Goods, or (ii) credit or refund the Price for such Nonconforming Goods, together with any reasonable shipping and handling expenses incurred by Customer in connection therewith. Customer shall ship, at its expense and risk of loss, the Nonconforming Goods to BHD’s facility located in Atlanta. If BHD exercises its option to replace Nonconforming Goods, BHD shall, after receiving Customer’s shipment of Nonconforming Goods, ship to Customer, at Customer’s expense and risk of loss, the replaced Goods to the Delivery Point.
(c) Customer acknowledges and agrees that the remedies stated in Section 8(b) are Customer’s exclusive remedies for the delivery of Nonconforming Goods. Except as provided under Section 8(b), all sales of Goods to Customer are made on a one-way basis and Customer has no right to return Goods purchased under this Agreement to BHD.
(d) Custom Goods.
(i) Customer is responsible for providing detailed drawings and specifications or approving any detailed drawings or specifications produced by BHD on instruction from the Customer. The final drawings and specifications must be approved by BHD in writing (“Approved Design”) as a pre-condition to acceptance by BHD of a Sales Confirmation to be supplied in accordance with those drawings and specifications. Customer must make its own investigations as to the fitness of customized Goods for its purposes. Customer acknowledges that BHD does not warrant the fitness of customized Goods for any particular purpose. The Customer acknowledges and agrees that BHD shall not be responsible for any aspects or properties of customized Goods arising from the design, drawings of the customized Goods, which are solely the responsibility of the Customer. Customer warrants that no Approved Design shall infringe any person’s intellectual property rights and Customer shall indemnify BHD for all of BHD’s costs relating to such infringement, including attorneys’ fees and costs of defense.
(ii) Customer must inspect customized Goods on delivery and advise BHD in writing within 7 days of delivery if such Goods, in its opinion, do not materially accord with the Approved Design. If BHD accepts that the Goods do not materially conform with the Approved Design, BHD will modify the Goods in such time as it determines is reasonable in the circumstances. Customer is deemed to have accepted the customized Goods and may not return them if Customer fails to give timely notice as required under this Section 8(d)(ii). Customer agrees that this Section 8(d)(ii) is reasonable and necessary as there may not be a ready and available market for BHD to resell the customized Goods.

Price

(a) Customer shall purchase the Goods and Services from BHD at the price[s] (“Price[s]”) stated in BHD’s published price list in force as of the date that BHD accepts Customer’s purchase order or as stated on the Sale Confirmation. Unless otherwise stated in the Sales Confirmation, a deposit of at least 50% of the Price (“Deposit”) is due when BHD sends Customer the Sale Confirmat45ion and the remaining 50% must be received by BHD before any Goods are placed in transit to the Customer. Refunds of Deposits are at BHD’s sole discretion and Customer agrees that this is reasonable because BHD may have applied the Deposit towards the purchase of Goods ordered by Customer. If the Price[s] should be increased by BHD before delivery of the Goods to a carrier for shipment to Customer, then these Terms shall be construed as if the increased price[s] were originally inserted in this Agreement, and Customer shall be billed by BHD on the basis of such increased price[s].]
(b) Customer agrees to reimburse BHD for all reasonable travel and out-of-pocket expenses incurred by BHD in connection with the performance of the Services.
(c) All Prices are exclusive of all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any Governmental Authority on any amounts payable by Customer. Customer shall be responsible for all such charges, costs and taxes; provided, that, Customer shall not be responsible for any taxes imposed on, or with respect to, BHD’s income, revenues, gross receipts, personal or real property, or other assets.

In addition to all other remedies available under these Terms or at law (which BHD does not waive by the exercise of any rights under this Agreement), BHD shall be entitled to suspend the delivery of any Goods or performance of any Services and stop Goods in transit if Customer fails to pay any amounts when due under this Agreement.
(c) Customer shall not withhold payment of any amounts due and payable by reason of any set-off of any claim or dispute with BHD, whether relating to BHD’s breach, bankruptcy or otherwise.
